This comprehensive document serves as the ethical road map for Ispahani employees and companies, and provides the guidelines by which the group conducts its businesses.
1.Integrity and Ethics:
1.1 Honesty and Transparency: Conduct all business with honesty, integrity, and transparency. Avoid engaging in dishonest or fraudulent activities, including but not limited to bribery, corruption, extortion, collusion, insubordination, theft, falsification, discrimination, harassment, or any other deceptive practices.
1.2 Conflicts of Interest: Disclose any actual or potential conflicts of interest that may arise between personal interests and the interests of the company. Avoid situations where personal interests may influence business decisions.
1.3 Data Integrity Compliance: Employees are expected to produce or obtain data that is accurate, complete, and timely. Falsification of data or selective reporting is prohibited. Employees are accountable for the integrity of their data, including its generation, analysis, recording, reporting, presentation, and retention.
1.4 Compliance with Laws and Regulations: Adhere to all applicable laws, regulations, and company policies in all business dealings. Seek guidance from relevant authorities or compliance officers when unsure about legal or regulatory requirements.

4.1 Fair Competition: Compete fairly and ethically in the marketplace, respecting the rights of competitors and avoiding anti-competitive practices such as price-fixing, collusion, or monopolistic behavior.
4.2 Supplier Relationships: Build and maintain relationships with suppliers based on mutual respect, fairness, and transparency. Select suppliers who share our commitment to ethical business practices and sustainability.
4.3 Customer Loyalty: We are dedicated to provide high quality products and services to our customers that meet or exceed their need or expectations. We are committed to furnish accurate and sufficient information about our products and services so that the customers can make informed purchasing decisions. We also remain truthful in advertising and all other communications.
- Confidentiality and Data Privacy
5.1 Confidential Information: Protect confidential information belonging to the company, its customers, employees, and other stakeholders. Safeguard sensitive data from unauthorized access, disclosure, or misuse.
5.2 Data Privacy: Respect the privacy rights of individuals and comply with applicable data protection laws and regulations. Disclosures will only occur on a need-to-know basis, preserving the privacy and trust of the individuals involved. Handle personal data responsibly and only collect, use, and disclose it for legitimate business purpose.
- Gift, Gratitude & Business Courtesies
We uphold highest ethical business practices with all our stakeholders and encourage to exercise discretion when offered gifts, expressions of gratitude, and business courtesies from our external stakeholders through the intent, value, and appropriateness of such situation. Any form of gifts, expression of gratitude and business courtesies that influence business decisions or compromise objectivity of professional relationship or inappropriate for a customary business setting is not permissible.
- Open Door Communication Channel
We encourage employees to discuss and resolve their concerns, job related problems, share ideas and seek guidance at all times with their immediate supervisor and if necessary with the next level(s) of supervisor or management or HR department. We address such matters with constructive dialogue with an aim to find a mutually agreeable and beneficial solutions. The company endeavor to protect the individual from retaliation and maintain confidentiality with respect to all concerns raised, thereby contributing to a culture of continuous improvement and employee satisfaction
- Alcohol and Drug Use Compliance
We emphasize on employee wellbeing and recognize that alcohol, drug, or other substance abuse by employees will impair their ability to perform properly and will have serious adverse effects on the safety, efficiency and productivity of other employees and the Company as a whole. Understanding such consequences employees must prevent themselves from using drugs, possession, distribution or sale of illicit drugs on self, company business or premises.
- Intellectual Property
All kinds of intellectual property of the company such as trademarks, copyrights, patents, logo and any kind of documents like project plan, SOP, audit report, statement and any kind of software design documents, envision design, documents formatted in virtual/printed media are organizations’ intellectual property, should not be shared or disclosed outside of the company without prior permission.

10.1 Reporting Violations: Report any violations of this Code of Conduct, company policies, or applicable laws promptly to management, human resources, or the designated compliance officer.
10.2 Accountability: Hold ourselves and others accountable for upholding the principles and values outlined in this Code of Conduct. Take responsibility for our actions and strive to continuously improve our ethical conduct and business practices.

11.1 Training and Awareness: Provide training and resources to employees to ensure awareness and understanding of this Code of Conduct and related company policies.
11.2 Enforcement: Take appropriate disciplinary action against individuals who violate this Code of Conduct or fail to comply with company policies, ranging from counseling and education to more severe consequences, depending on the nature and severity of the violation, up to and including termination of employment or legal action.
